Note: The legal entity name (LEGAL_NAME) and Indian jurisdiction state (STATE) remain TBD until finalized. Support email and site URL below are live.

Agreement to these Legal Terms

We are TBD, trading as Asmuth (“Company,” “we,” “us,” or “our”), established / operating primarily from India, and offering the Services to users worldwide (including Europe, South America, Canada, the United States, and other regions), except where we restrict access.

We operate the website https://asmuthai.com (the “Site”), the Asmuth desktop application, the logged-in web dashboard, and any related products or services that link to these terms (collectively, the “Services”).

These Terms and Conditions (“Legal Terms”) are a legally binding agreement between you (“you”) and us concerning your access to and use of the Services. By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Legal Terms. If you do not agree, you must not use the Services.

YOU ARE RESPONSIBLE FOR USING THE SERVICES ONLY FOR LEGAL AND ETHICAL PURPOSES. You alone must ensure that your use complies with all applicable laws and third-party rules that apply to you — including rules about recording, consent, privacy, confidentiality, employment, education, examinations, interviews, and platform terms of service — in your country and in any country connected to your use. You must not use Asmuth in any illegal, deceptive, fraudulent, harmful, or unethical way, or to violate obligations you owe to an employer, school, examiner, interviewer, or platform. Where notice, disclosure, or consent is required before recording or using AI assistance in a conversation, interview, meeting, or exam, obtaining that consent is solely your responsibility. We provide Asmuth as a general-purpose productivity tool and do not endorse cheating, undisclosed AI use where prohibited, or violation of third-party terms. Such misuse is a material breach of these Legal Terms.

We may update these Legal Terms by posting a revised version and updating the “Last updated” date. Continued use after changes means you accept the revised terms where permitted by law. Review this page periodically. Where mandatory local law requires additional notice or consent for material changes, we will comply.

The Services are for users who are at least 18 years old, or the age of majority in your jurisdiction if higher. Persons below that age may not register or use the Services.

Consumer rights: If you are a consumer in the EU/EEA/UK, Canada, Brazil, Australia, or another jurisdiction with mandatory consumer protections, nothing in these Legal Terms limits those non-waivable rights. In case of conflict, mandatory local consumer law prevails for you.

1. Our Services

Asmuth is a privacy-oriented desktop AI assistant and companion website that may include:

A desktop overlay for real-time assistance during meetings, interviews, and related workflows
Meeting-audio listening / transcription, microphone input, and screen analysis features you enable
Mock interview and research-assistant modes
Chat history, performance analytics, settings, and account management on desktop and/or web
Cloud-proxied AI requests and usage metering (AI credits and listening time)

The Services are not tailored to industry-specific regimes such as HIPAA (US health), or similar sector regimes elsewhere. Do not use Asmuth where those regimes prohibit such use.

You are responsible for compliance with local laws wherever you access the Services.

2. International availability

We aim to make Asmuth available globally. Features, currencies, taxes, payment methods, and language support may vary by country. We may refuse, limit, or geo-restrict the Services where required by law, sanctions, payment-provider rules, or operational reasons.

Prices at checkout may be shown in INR or other currencies supported by Dodo Payments / our Site. Taxes (for example GST in India, VAT/GST elsewhere) may be added or included as displayed at checkout.

3. Intellectual property rights

Our intellectual property

We own or license the intellectual property in the Services, including software, branding, UI, documentation, and related content (the “Content”) and trademarks / logos (the “Marks”).

Subject to these Legal Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use the desktop app and access the Site for your own lawful use of the Services.

You may not copy, modify, distribute, sell, reverse engineer (except to the limited extent allowed by mandatory law), or create derivative works from the Services, Content, or Marks without our prior written permission.

Feedback

If you send ideas, suggestions, or feedback about the Services (“Submissions”), you grant us a worldwide, royalty-free, perpetual license to use those Submissions for any lawful purpose without compensation to you.

4. User representations

By using the Services, you represent and warrant that:

You are at least 18 (or the age of majority where you live, if higher) and have capacity to enter this agreement
All registration information you provide is true and current
You will maintain the accuracy of that information
You will comply with these Legal Terms and all applicable laws of your country and any other laws that apply to your use
You will not access the Services by automated or non-human means (bots, scripts) except as we expressly allow
Your use will not violate any third-party right or applicable rule of an employer, school, or platform
You are not prohibited from receiving the Services under export control or sanctions laws

If you provide untrue information or breach these representations, we may suspend or terminate your account.

5. User registration

You may be required to register (for example via email or Google OAuth through Appwrite). You are responsible for safeguarding your login credentials and for activity under your account. Notify us promptly at [email protected] if you suspect unauthorized access.

We may reclaim or rename usernames / display names that are inappropriate, infringing, or misleading, in our reasonable discretion.

6. Purchases and payment

Packs (not auto-renewing monthly subscriptions by default)

Paid offerings are generally one-time prepaid packs (for example Starter, Pro, Pro+), which grant AI credits and listening-time allotments. These packs are not auto-renewing subscriptions. Free access, if offered, is a limited signup trial and is not a checkout SKU.

Pack sizes, pricing, currency, and applicable taxes are shown at checkout on the Site. We may change prices prospectively; changes do not alter packs already purchased except as required by law.

Where you pay

Purchases are completed on the website via Dodo Payments (hosted checkout). The desktop app does not process card/UPI/local payments directly; upgrade or buy actions should open the Site checkout. After successful payment, our servers apply your pack to your account (usage limits / plan badge). Entitlements sync to the desktop app when it next refreshes usage from our backend.

Payment terms

You authorize Dodo Payments and us to charge the payment method you use for the amounts disclosed at checkout
You are responsible for providing accurate billing information
We (or Dodo) may refuse or cancel orders that appear fraudulent or erroneous
Available payment methods depend on your location and Dodo’s coverage

Refunds are governed by our Refund Policy, subject to mandatory consumer withdrawal / cooling-off rights where they cannot be waived.

EU/UK consumers — digital content notice

If you are a consumer in the EU/EEA/UK purchasing digital content, you acknowledge that if you request or start performance of the digital service (for example by having the pack applied and using AI credits or listening features) during a statutory withdrawal period, you may lose the right to withdraw once performance has begun with your prior express consent and acknowledgement, to the extent permitted by the Consumer Rights Directive / UK consumer law. See the Refund Policy for how we handle unused vs used packs.

7. Prohibited activities

You agree not to:

Use the Services unlawfully or to violate third-party terms (including interview, exam, or employer rules)
Harass, abuse, defraud, or harm others
Attempt to bypass usage limits, payment, or security controls
Share, sell, or rent your account or pack entitlements
Scrape, crawl, or overload our infrastructure
Upload malware or interfere with the Services
Reverse engineer or extract source code except where mandatory law allows
Impersonate others or misrepresent your affiliation
Use the Services to develop a competing product by systematic copying of non-public aspects of the Service
Use the Services for any purpose other than those for which we make them available

Violation may result in suspension, termination, and refusal of refunds where permitted by the Refund Policy and law.

8. User content

You retain ownership of content you create or upload (“User Content”). You grant us a worldwide license to host, process, transmit, and display User Content as needed to operate and improve the Services (including sending content to AI and transcription subprocessors you invoke by using those features).

You are solely responsible for User Content and represent that you have the rights to use it and to grant us this license under the laws of your country and any other applicable law.

We may remove User Content that violates these Legal Terms or law, but we are not obligated to monitor all content.

9. Privacy Policy and Refund Policy

Our Privacy Policy explains how we handle personal data globally and is incorporated into these Legal Terms.

Our Refund Policy applies to paid packs and is incorporated into these Legal Terms.

10. AI outputs and disclaimers

AI-generated answers, scores, transcripts, and suggestions may be inaccurate, incomplete, or inappropriate. Asmuth does not guarantee interview outcomes, job offers, exam results, or professional advice quality. You must review outputs before relying on them. You remain solely responsible for what you say or submit in real interviews and meetings under local professional and employment rules.

11. Services management

We may monitor use for security and abuse prevention, and may take action including limiting features, suspending accounts, or removing content that violates these Legal Terms or harms the Services or other users.

12. Term and termination

These Legal Terms remain in effect while you use the Services. You may stop using the Services and request account deletion as described in the Privacy Policy.

We may suspend or terminate access at any time for breach, risk, non-payment, or discontinuation of the Services, subject to mandatory local law. Provisions that by nature should survive (including IP, disclaimers, limitations of liability, and indemnification) survive termination.

13. Modifications and interruptions

We may modify, suspend, or discontinue any part of the Services without liability, to the fullest extent permitted by law. We do not guarantee uninterrupted or error-free operation. Outages may occur due to maintenance, providers, or events beyond our control.

14. Governing law and disputes

Contractual governing law: Subject to the mandatory consumer protections below, these Legal Terms are governed by the laws of India, without regard to conflict-of-law rules.

Courts: Subject to mandatory consumer protections, courts in TBD, India shall have jurisdiction over disputes arising from these Legal Terms or the Services.

Consumers in the EU/EEA/UK, Canada, Brazil, and elsewhere: If you are a consumer, you may also bring proceedings in the courts of your country of residence where mandatory law so provides. You may also benefit from mandatory consumer protections of your country of residence that cannot be waived by contract (including alternative dispute resolution schemes where available). Nothing in this section deprives you of those rights.

Informal resolution: Before filing a claim, please contact [email protected] so we can try to resolve the issue informally.

US users — arbitration note: We do not currently mandate binding arbitration. If we introduce an arbitration or class-action waiver program later, we will update these Legal Terms with clear notice and any required opt-out.

15. Corrections

We may correct typographical errors, inaccuracies, or omissions relating to descriptions, pricing, or availability on the Services.

16. Disclaimer

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI OUTPUTS WILL BE ACCURATE.

Some jurisdictions do not allow certain disclaimers; in that case, disclaimers apply to the maximum extent permitted. This does not affect mandatory statutory warranties for consumers (for example under EU consumer law).

17. Limitations of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE AND OUR PROVIDERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) THE LOCAL-CURRENCY EQUIVALENT OF USD 100 / INR 5,000 (WHICHEVER WE REASONABLY APPLY), EXCEPT WHERE LIABILITY CANNOT BE LIMITED UNDER APPLICABLE LAW.

Nothing in these Legal Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited under the laws of your country (including certain EU consumer rights).

18. Indemnification

To the fullest extent permitted by law, you agree to indemnify and hold harmless TBD and our officers, contractors, and agents from claims, damages, losses, and expenses (including reasonable legal fees) arising from your User Content, your misuse of the Services, your violation of these Legal Terms, or your violation of any law or third-party rights (including interview or platform rules). This indemnity does not apply to the extent a claim is caused by our wilful misconduct or as prohibited by mandatory consumer law.

19. User data

We maintain certain data to operate accounts and usage meters. While we perform regular backups consistent with our practices, you are responsible for maintaining your own copies of important content where feasible. We are not liable for loss or corruption of data except to the extent we cannot exclude liability under law.

20. Electronic communications

Visiting the Site, using the app, and sending us emails constitute electronic communications. You consent to receive electronic communications from us related to the Services, and agree that electronic agreements, notices, and records satisfy any legal writing requirements where permitted. Marketing emails, where used, will include an unsubscribe mechanism as required by law (including CAN-SPAM, CASL, and ePrivacy rules where applicable).

21. Export and sanctions

You may not use or export the Services in violation of applicable export control or sanctions laws (including those of India, the United States, the UK, or the EU). You represent that you are not located in a comprehensively sanctioned jurisdiction and are not a prohibited party on relevant sanctions lists.

22. Miscellaneous

These Legal Terms, together with the Privacy Policy and Refund Policy, are the entire agreement between you and us regarding the Services. If any provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Legal Terms without our consent; we may assign them in connection with a reorganization or sale. No joint venture, partnership, or employment relationship is created by these Legal Terms. The English version of these Legal Terms controls if we provide translations, except where mandatory local law requires otherwise.
